Terms of Service
Last updated: September 21, 2026 · Effective: September 21, 2026
These Terms of Service (“Terms”) are entered into between you and [LEGAL ENTITY NAME — the exact registered entity that owns/operates Cogerphere] (“Cogerphere AI Labs,” “Cogerphere,” “we,” “us,” or “our”), and govern your access to and use of websites, software, applications, products, research previews, APIs, and services provided by Cogerphere AI Labs.
By accessing or using a service covered by these Terms, you agree to these Terms. Certain products may have additional terms. Where additional terms apply, they form part of your agreement for that product.
1.Agreement
These Terms govern your access to and use of Cogerphere websites, software, applications, products, research previews, APIs, documentation, and services. If you use a service on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” refers to that organisation.
2.Eligibility
You must be legally capable of entering into a binding agreement to use Cogerphere services. If you are under the age of majority where you live, you may use a Cogerphere service only with the involvement and permission of a parent or legal guardian where permitted by the applicable service and law.
Services that are not designed for minors say so in their product-specific terms or notices; where a service is not designed for minors, it must not be used by or directed to children.
3.Cogerphere Services
“Services” means Cogerphere websites, products, research tools, software, models, APIs, documentation, and beta or experimental systems — including, for example, Openbentt, Cobentt, Meridian, Kostant, RRbench, ChillarOps, and other Cogerphere products as they become available.
Mention of a research project in these Terms does not imply that it is commercially available, generally available, or supported. Research systems and previews are governed additionally by Sections 12 and 13.
4.Accounts
Where a Service requires or offers accounts:
- you are responsible for providing accurate information;
- you are responsible for maintaining the security of your account and credentials;
- you must not share credentials where the applicable terms prohibit it;
- you must promptly notify Cogerphere of suspected unauthorised access; and
- Cogerphere may suspend or restrict accounts where reasonably necessary for security, legal compliance, or protection of the Services.
5.User Responsibilities
You agree not to:
- violate applicable laws or infringe the rights of others;
- attack Cogerphere systems or circumvent their security;
- access data you are not authorised to access;
- abuse infrastructure or interfere with service availability;
- use the Services to distribute malware or attempt credential theft;
- conduct unauthorised penetration testing or scanning;
- reverse engineer the Services where prohibited by law or contract;
- evade usage limits or access controls;
- create accounts fraudulently or impersonate others;
- submit unlawful, infringing, or harmful content; or
- use outputs to make unsafe automated decisions without appropriate human oversight and verification.
6.Acceptable Use
You may not use Cogerphere services to:
- gain unauthorised access to systems;
- deploy malware or conduct ransomware activity;
- steal credentials or perform destructive attacks;
- exploit third-party infrastructure without authorisation;
- conduct phishing or evade access controls;
- violate another person's privacy;
- generate or distribute content in violation of applicable law;
- interfere with Cogerphere infrastructure; or
- circumvent technical restrictions.
For ChillarOps or other cybersecurity-related functionality: security testing must be performed only against systems you own or have explicit authorisation to test. Authorised security research and testing, where supported by the applicable product, is permitted; unauthorised access or attack is prohibited. See Section 21.
7.AI and Model Use
AI-generated content is probabilistic and may contain errors. AI outputs may resemble existing material or contain inaccuracies. You are responsible for reviewing outputs before relying on them.
Do not treat AI outputs as guaranteed factual, legal, medical, financial, security, scientific, or professional advice. You are responsible for determining whether generated content is appropriate before using, publishing, or acting on it.
8.User Content
You retain ownership of content you submit to Cogerphere, subject to the rights necessary for us to provide the applicable service.
You grant Cogerphere a limited, non-exclusive right to host, process, transmit, store, transform, display, and otherwise use that content as reasonably necessary to provide, secure, maintain, and operate the applicable service. Cogerphere does not take ownership of your content under these Terms.
[TRAINING-USE PROVISION TO BE CONFIRMED: if any product uses submitted content for model training, insert an explicit provision here describing the scope, legal basis, and opt-out. If no product does, insert the verified statement here. Do not publish either until technically and contractually verified.]
9.Feedback
If you provide suggestions, feedback, ideas, or recommendations regarding Cogerphere, you grant us a non-exclusive, worldwide, royalty-free right to use that feedback to improve our products and services, without obligation to compensate you, provided that we do not disclose your confidential information in violation of applicable agreements.
10.Intellectual Property
Cogerphere owns or licenses its websites, branding, logos, software, design, documentation, research publications where applicable, original model artefacts where applicable, and other company-owned materials. You receive a limited, non-transferable right to use the Services in accordance with these Terms.
Nothing in these Terms transfers ownership of Cogerphere intellectual property to you, and nothing claims Cogerphere ownership of third-party open-source projects that Cogerphere merely uses or contributes to.
11.Open Source and Third-Party Components
Certain Cogerphere software, model artefacts, datasets, dependencies, or research outputs may be provided under open-source or separate licences. The applicable licence controls where it conflicts with these Terms for the relevant open-source material. For third-party components, the applicable third-party licence remains controlling.
See https://cogerphere.com/docs and https://cogerphere.com/licenses for applicable notices.
12.Research and Experimental Products
Some Cogerphere research systems, models, benchmarks, and tools — including Meridian, Kostant, RRbench, experimental systems, and research previews — are experimental and may be incomplete, inaccurate, unstable, or changed without notice.
Research results are provided for informational and experimental purposes unless expressly stated otherwise.
13.Beta Products
Beta or preview services — including Openbentt beta and any Cobentt beta or future beta releases — may contain bugs, change substantially, or become unavailable. Beta services may be provided for testing and evaluation and may not have the same reliability or support commitments as generally available services.
We do not promise uptime for beta systems.
14.Third-Party Services
Cogerphere may integrate with third-party services, APIs, model providers, storage systems, authentication providers, hosting providers, or other infrastructure. Third-party services may have their own terms and privacy policies, and their availability and behaviour may affect Cogerphere functionality.
We do not guarantee uninterrupted availability of third-party services.
15.Availability and Changes
We may modify, suspend, discontinue, or replace parts of our Services, including to address security issues, comply with law, or evolve our products. For material changes to paid services, where applicable, we will provide the notices required by law or contract.
16.Fees and Purchases Where Applicable
Certain services may require payment. Applicable pricing, billing, taxes, renewals, refunds, usage limits, and cancellation terms will be disclosed at or before purchase. When paid products launch, any pricing, subscription, or refund terms will be provided in separate pricing, subscription, or refund terms where necessary.
17.Suspension and Termination
Cogerphere may suspend or terminate access where reasonably necessary for security, legal compliance, violation of these Terms, abuse, fraud, non-payment, or infrastructure protection. You may discontinue use at any time.
What happens to user content upon termination is governed by the applicable product's retention rules, contracts, and our Privacy Policy. [PRODUCT-SPECIFIC POST-TERMINATION HANDLING TO BE CONFIRMED PER PRODUCT (deletion timelines, export options).]
18.Privacy
Your use of the Services is also subject to our Privacy Policy.
19.Disclaimers
To the maximum extent permitted by applicable law, Cogerphere services are provided on an “as is” and “as available” basis. We do not guarantee that services will always be uninterrupted, secure, accurate, complete, or error-free, or that outputs or results will meet your requirements.
Nothing in these Terms excludes or limits liability or rights that cannot lawfully be excluded or limited, including under applicable consumer-protection law.
20.AI Output Disclaimer
Cogerphere uses AI and machine-learning systems that can produce incorrect or unpredictable results. AI outputs should be independently reviewed before being relied upon.
Cogerphere does not guarantee that generated content is factually correct, non-infringing, secure, original, complete, or suitable for a particular purpose. You remain responsible for final decisions and actions based on outputs.
21.Security and Cybersecurity Products
Any security-testing or offensive-security functionality (including in ChillarOps) must be used only on systems for which you have explicit authorisation. You are responsible for ensuring your use complies with applicable law and does not affect systems or individuals without authorisation, and for obtaining appropriate permissions before performing security testing.
22.Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Cogerphere and its directors, officers, employees, contractors, and affiliates from claims, liabilities, damages, losses, and expenses arising from your unlawful use of the Services, violation of these Terms, infringement of third-party rights, or misuse of the Services.
[TO BE REVIEWED BY COUNSEL — confirm scope, procedure (notice, control of defence), and consumer-law limits before production.]
23.Limitation of Liability
To the maximum extent permitted by applicable law, Cogerphere will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the Services.
For direct damages, the applicable cap is: [LIABILITY CAP TO BE CONFIRMED BY COUNSEL — do not invent an amount or formula without legal review].
Nothing in this section limits liability that cannot lawfully be limited, including liability for fraud, wilful misconduct, or other non-excludable liability under applicable law.
24.Governing Law
These Terms are governed by the laws of [JURISDICTION — TO BE CONFIRMED BY COUNSEL (e.g. INDIA / STATE / APPROPRIATE COURTS)], without regard to conflict-of-law principles, subject to mandatory laws that cannot be excluded.
25.Dispute Resolution
Before bringing a formal legal proceeding, the parties will attempt in good faith to resolve the dispute by contacting Cogerphere at support@cogerphere.com.
Any further dispute mechanism — courts, arbitration, seat, language, and venue — is: [COURTS / ARBITRATION / VENUE TO BE CONFIRMED BY COUNSEL. Do not invent arbitration rules, seat, language, or court jurisdiction.]
26.Changes to Terms
We may update these Terms from time to time. Where legally required, we will provide appropriate notice of material changes. Your continued use after the effective date of an updated version may constitute acceptance to the extent permitted by law.
27.Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
28.Waiver
Failure to enforce any provision does not constitute a waiver of our right to enforce it later.
29.Entire Agreement
These Terms, together with applicable product-specific terms and the Privacy Policy, constitute the agreement between you and Cogerphere regarding the applicable services, except where a separate written agreement controls.
